Development Submission — Stage One Acknowledgment

TGLP accepts select development-stage projects for preliminary consideration. Full screenplays, pilots and other full literary materials are accepted by invitation following preliminary review. Submitting a project for consideration does not transfer ownership of your project to TGLP. Submission does not guarantee review beyond preliminary evaluation and does not create a financing, production, acquisition, licensing, distribution, employment, partnership, agency, or other business commitment. Any future development, production, financing, licensing, distribution, acquisition, or other relationship must be established through a separate written agreement. TGLP does not charge a fee to submit a project for programming or development consideration. By submitting materials, submitter grants TGLP a limited, non-exclusive, revocable license to receive, store, internally reproduce, and review the submitted materials solely to evaluate the project. This license does not include any right to develop, produce, distribute, or exploit the materials, and terminates automatically upon TGLP's notice of non-interest unless a separate written agreement grants additional rights. Submission does not transfer, assign, license, or convey any ownership, copyright, trademark, or other intellectual property right in the materials to TGLP; submitter retains all right, title, and interest, subject only to the evaluation license above. Submitter represents and warrants that submitter owns or controls the rights necessary to submit the materials, the materials do not infringe any third party's rights, and submitter has authority to grant the evaluation license described above. Except as otherwise agreed in a separate written agreement, TGLP does not guarantee that submitted materials will be treated as legally confidential; submitters should not disclose trade-secret or highly sensitive information absent a separate confidentiality agreement. TGLP and its personnel may have developed, or may in the future develop, projects with similar themes, ideas, plots, settings, or other elements independent of and without reference to submitter's materials. Similarity of general ideas, themes, or unprotectable elements between submitter's materials and a TGLP project does not, by itself, establish copying or use of submitter's materials. Nothing in this policy waives submitter's rights in the protectable, original expression in the submitted materials. No statement, meeting, correspondence, status designation (including 'Development Interest,' 'Production/Co-Production Interest,' 'Distribution Interest,' or 'TGLP Original Consideration'), or continued review by TGLP constitutes a commitment or obligation to finance, produce, acquire, license, distribute, or otherwise exploit the project. Any such commitment arises only upon execution of a definitive written agreement authorized by TGLP's Business Affairs/Legal department. Submitter may request withdrawal of a submission from active consideration at any time by written notice to TGLP. TGLP will retain declined or withdrawn submission materials and records for two (2) years before deletion, subject to legal-hold or litigation exceptions. By checking the acknowledgment box and submitting materials through the platform, submitter agrees to be bound by the version of these terms presented at the time of submission and by TGLP's website Terms of Use, incorporated by reference. TGLP will retain a record of the specific version accepted, together with the submission timestamp, Submission ID, and associated account/identity information, as evidence of assent. These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms or a submission is subject to the exclusive jurisdiction and venue of the state and federal courts located in Davidson County, North Carolina, unless the parties separately agree to binding arbitration. To the maximum extent permitted by law, TGLP's aggregate liability arising out of the submission process will not exceed the greater of (i) the amount, if any, paid by submitter to TGLP in connection with the submission, or (ii) five hundred dollars ($500), and TGLP will not be liable for indirect, incidental, consequential, or punitive damages. Submitter represents and warrants that submitter is at least 18 years of age and legally capable of entering into binding agreements. Submitter agrees to indemnify and hold TGLP harmless from claims arising out of a breach of the representations and warranties in these terms, subject to the limitations set out in the applicable definitive agreement. Where a submitter is located in the European Economic Area ("EEA") or the United Kingdom, TGLP processes personal data submitted through the platform in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679) and, where applicable, the UK GDPR and the Data Protection Act 2018 (together, "GDPR"). For personal data collected through the submission process, TGLP acts as the data controller with respect to submitter contact and account information, and processes project-related personal data (e.g., names or likenesses referenced in submitted materials) solely as reasonably necessary to evaluate the submission. TGLP processes personal data under the following legal bases: (a) performance of a contract, where processing is necessary to evaluate a submission at the submitter's request; (b) legitimate interests, where TGLP evaluates, tracks, and manages submissions, protects against fraud or misuse, and defends legal claims, provided such interests are not overridden by the submitter's data protection interests or fundamental rights; and (c) consent, where required for specific processing activities (e.g., optional marketing communications). Submitters in the EEA/UK have the right to request access to, correction of, deletion of, or restriction on the processing of their personal data, to object to processing based on legitimate interests, and to data portability, subject to applicable exceptions. Requests may be submitted to privacy@tglp.studio and will be addressed within the timeframes required by GDPR. Submitters have the right to lodge a complaint with their local data protection supervisory authority. Submitter represents and warrants that submitter is not (a) named on any U.S. government restricted-party list, including the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List or the U.S. Department of Commerce's Denied Persons, Entity, or Unverified Lists; (b) located in, or a national or resident of, any country or region subject to comprehensive U.S. sanctions or embargo; or (c) submitting materials, software, or technical data whose transfer to TGLP would violate the U.S. Export Administration Regulations, the International Traffic in Arms Regulations, or other applicable export-control or sanctions laws. TGLP reserves the right to decline, suspend, or terminate review of any submission, and to decline to process any related payment or data transfer, where TGLP reasonably determines that doing so is necessary to comply with U.S. export-control or sanctions laws. Submitter agrees not to use the platform to transmit materials on behalf of, or for the benefit of, any restricted party or embargoed destination described above.
